KOMISI Pengawas Persaingan Usaha (KPPU) memperhatikan berbagai pertanyaan di publik terkait dengan hasil penilaian atas akuisisi PT Tokopedia oleh PT Aplikasi Karya Anak Bangsa (Gojek).
KPPU masih melakukan penilaian menyeluruh atas notifikasi transaksi akuisisi tersebut. Saat ini Komisi Penilai melakukan penilaian substantif atas potensi antipersaingan maupun dampak dari transaksi tersebut.
“Potensi antipersaingan atau dampak tersebut dapat berupa integrasi vertikal, penyalahgunaan posisi dominan, penguasaan pasar, atau praktik diskriminasi dalam penggunaan platform,” jelas Kepala Biro Hubungan Masyarakat dan Kerja Sama Deswin Nur dalam siaran pers, Jumat (25/2).
Oleh karena itu, belum dapat disimpulkan apakah transaksi diduga mengakibatkan praktik monopoli atau persaingan usaha tidak sehat ataupun kemungkinan adanya persetujuan bersyarat (remedi) atas transaksi dimaksud.
Sebagai informasi, akuisisi yang dilakukan Gojek atas Tokopedia cukup mendapatkan perhatian publik di sepanjang 2021. Transaksi tersebut dilaporkan Gojek ke KPPU pada 9 Agustus 2021 dan dinyatakan lengkap serta masuk ke proses penilaian sejak 4 November 2021. Saat ini proses penilaian masuk ke penilaian menyeluruh dan tengah dilakukan penilaian substansi transaksi tersebut.
Berdasarkan penilaian, akan menerbitkan Penetapan Notifikasi yang memuat Pendapat KPPU.
“Pendapat tersebut dapat berupa ada atau tidak adanya dugaan praktik monopoli dan/atau persaingan usaha tidak sehat ataupun penetapan dugaan praktik monopoli dan/atau persaingan usaha tidak sehat dengan Persetujuan Bersyarat (atau remedi),” ujar Deswin.
Selama proses penilaian, pelaku usaha juga dapat mengajukan permohonan Persetujuan Bersyarat jika mengetahui bahwa transaksi yang dilakukan memiliki potensi berkurangnya persaingan di pasar bersangkutan.
“Diperkirakan hasil penilaian menyeluruh dapat disampaikan ke publik setelah proses penilaian yang berakhir pada 14 Maret 2022,” imbuhnya. (RLS/J1)
